Partner Program Terms
The full terms governing the SpectaQR Partner Program — commission structure, attribution rules, payout conditions, and everything in between.
Earn a recurring commission on every new paying customer you refer. Straightforward rules, transparent payouts, no surprises.

1. The Program
SpectaQR operates a referral Program (the “Program”) that allows approved individuals and businesses (“Partners”) to earn recurring commissions by referring new customers to SpectaQR’s subscription products.
2. Eligibility
To join the Program, you must:
- Be at least 18 years of age.
- Have a valid SpectaQR account authenticated via Clerk.
- Submit a partner application and receive approval from SpectaQR.
- Accept these terms (the “Agreement”) in full via the Partner Dashboard.
- Connect a verified Stripe payout account before any commissions are disbursed.
SpectaQR reserves the right to approve, reject, or revoke any partner application at its sole discretion.
3. Your Referral Link
Upon approval, you receive a unique referral code and a referral link of the form https://app.spectaqr.com/sign-up?partner=YOURCODE. You may share this link through any lawful channel, including your website, social media, email, or direct outreach.
You must not:
- Misrepresent SpectaQR’s products, pricing, or capabilities.
- Use paid search advertisements that bid on SpectaQR trademarks without prior written approval.
- Engage in spam or unsolicited bulk communications.
- Offer inducements, rebates, or cash incentives to prospects on SpectaQR’s behalf.
- Create fake accounts, simulate sign-ups, or otherwise attempt to manipulate attribution data.
SpectaQR may deactivate your referral link at any time if these conditions are not met.
4. Attribution
SpectaQR uses a first-touch attribution model:
- When a prospect clicks your referral link, a first-party cookie is set in their browser. This cookie is valid for 30 days from the click.
- If the prospect signs up and creates an organisation within the cookie window, they become a referral candidate linked to your account.
- Attribution is locked permanently when the referral candidate makes their first paid subscription invoice, provided that invoice is received within 12 months of the original cookie being set.
- Once locked, attribution cannot be changed retroactively.
- If no paid invoice is received within 12 months, the referral candidate expires and no commission will be paid.
SpectaQR does not offer retroactive attribution. If a customer signed up before your referral link was shared with them, no commission applies.
Self-referral prevention. You may not earn commissions on subscriptions where you and the referred customer share the same Clerk user identity, or where SpectaQR determines that the referral was designed to circumvent this restriction. Any attribution found to violate this clause will be voided and associated commissions reversed.
5. Commission
You earn a commission equal to 20% of the net collected subscription revenue for each invoice received from a locked attribution customer, for the duration of the 12-month attribution window.
“Net collected” means the amount actually charged and settled, excluding taxes (VAT, GST, sales tax, etc.), refunds, credit notes, and disputed or charged-back amounts. Commissions are tracked and paid in the currency of the customer’s invoice (e.g. USD, EUR, GBP). Balances are maintained separately per currency.
If a refund results in a negative balance in a given currency, the negative amount is carried forward and deducted from future commissions in that same currency. You will not be invoiced for any negative balance.
6. Payouts
Payouts are processed monthly, on the 10th of each calendar month, for commissions accrued in the prior calendar month. If the 10th falls on a weekend or bank holiday, processing may be delayed by up to two business days.
Minimum payout threshold. Payouts are only issued when your balance in a given currency meets or exceeds $50 (or the equivalent in the applicable currency). Balances below this threshold roll forward automatically to the following payout cycle. There is no cap on how long a sub-threshold balance may accumulate.
Payouts are delivered via Stripe Connect transfer to your connected bank account. You are responsible for maintaining a verified, payout-ready Stripe Connect account. SpectaQR is not liable for payment delays caused by Stripe, your bank, or your failure to maintain a valid payout account.
7. Payout Restrictions
If your Stripe Connect account enters a restricted state, payouts will be paused until the restriction is resolved. Commissions continue to accrue normally during a restriction period; only the transfer of funds is delayed. Visit the Stripe dashboard linked from your Partner Dashboard to resolve any outstanding requirements.
8. Program Changes and Termination
Changes. SpectaQR may modify these terms, the commission rate, attribution rules, or payout schedule by providing 30 days’ written notice to your registered email address. Changes will not retroactively affect the commission rate applicable to locked attributions already in progress at the time the notice is issued; the rate in effect when attribution was locked will apply for the remainder of that attribution window.
Termination by Partner. You may close your partner account at any time by contacting SpectaQR support. Any accrued balance at the time of closure will be paid out at the next scheduled payout run, provided it meets the minimum payout threshold.
Termination by SpectaQR. SpectaQR may suspend or terminate your partner account immediately if you violate these terms, engage in fraudulent, deceptive, or abusive behaviour, or if SpectaQR discontinues the Program. Upon termination, your referral link will be deactivated and no further commissions will accrue. Any unpaid accrued balance will be settled at the final payout run.
9. Disputes
If you believe a commission was incorrectly posted or omitted, you must contact SpectaQR support within 30 days of the relevant invoice date. Disputes outside this window will not be accepted. Manual adjustments are recorded in your commission ledger with a full audit trail.
10. Intellectual Property
SpectaQR grants you a limited, non-exclusive, non-transferable licence to use its name, logo, and approved marketing materials solely for the purpose of promoting SpectaQR through lawful channels during your participation in the Program. All rights not expressly granted are reserved. You must not use SpectaQR’s brand assets in a way that implies endorsement of any third-party product or service.
11. Disclaimers and Limitation of Liability
The Program is provided “as is.” SpectaQR makes no warranty that commissions will meet any particular threshold or that referred customers will maintain their subscriptions.
To the maximum extent permitted by law, SpectaQR’s liability to you under this Agreement is limited to the total unpaid accrued commissions in your balance at the time of the claim. SpectaQR shall not be liable for any indirect, incidental, or consequential damages arising from your participation in the Program.
12. Governing Law
This Agreement is governed by the laws of Romania, without regard to conflict of laws principles. Any dispute shall be subject to the exclusive jurisdiction of the courts of Romania.
13. Entire Agreement
This Agreement, together with the SpectaQR Privacy Policy and Terms of Use, constitutes the entire agreement between you and SpectaQR regarding the Program and supersedes any prior communications, representations, or agreements.
